LIMIATION OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL THE ULTRADENT GROUP BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF DATA, LOSS OF INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, OR ANY OTHER DAMAGES OF ANY KIND OR CHARACTER (INCLUDING WITHOUT LIMITATION ANY COMPENSATORY, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES) RESULTING DIRECTLY OR INDIRECTLY FROM THE USE OF OR INABILITY TO USE THE opalescence.com/pages/locate-a-dentist SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ULTRADENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE opalescence.com/pages/locate-a-dentist SITE, ITS CONTENT, OR ANY WEBSITE OR CONTENT WITH WHICH IT IS LINKED.

INDEMNIFICATION You agree to defend, indemnify and hold harmless each member of the Ultradent Group from and against any and all claims, actions, or demands, including without limitation reasonable legal and accounting fees, resulting from, related to, or alleged to result from (a) your breach of any of these Terms of Use; and/or (b) your access to or use of the opalescence.com/pages/locate-a-dentist Site. Ultradent reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, which shall not excuse your obligation to indemnify the Ultradent Group. You shall not settle any dispute that is subject to your indemnification under these Terms of Use without Ultradent’s prior written consent.

GOVERNING LAW

You expressly agree that all questions of the validity, interpretation, or performance of the terms of these Terms of Use including any dispute with Ultradent that in any way relates to your use of the opalescence.com/pages/locate-a-dentist Site shall be governed by Utah law and the federal laws of the United States of America without regard to principles of conflict of laws, and venue shall lie exclusively in the courts of the state of Utah, Salt Lake County. You expressly consent to the jurisdiction of the state or federal courts in the state of Utah and hereby further irrevocably waive any objection to jurisdiction or venue based on lack of personal jurisdiction, place of residence, improper venue, or forum non conveniens in any such action.

SEVERABILITY

In the event that any provision of these Terms of Use become wholly or partially invalid as evidenced by a ruling of a court of competent jurisdiction, the effectiveness of the remaining provisions shall not be affected, to the extent severable. Upon a determination that any term or provision is invalid, illegal or unenforceable, the court may modify this agreement to effect the original language of the agreement as closely as possible.

ENTIRE AGREEMENT

These Terms of Use constitute the entire contract between you and Ultradent regarding the opalescence.com/pages/locate-a-dentist Site and supersede all previous written or oral contracts. Any failure by Ultradent to enforce any term of the Terms of Use shall not affect Ultradent’s right to require performance at any subsequent time, nor shall the waiver by Ultradent of any breach by you of any provisions of these Terms of Use be taken to be a waiver of the provision or provisions itself.
